1. Acceptance of Terms

By clicking "I Accept" and creating an account on PWA.Archis ("Platform"), you ("Vendor", "You", or "Your") agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and Archis Prodyogiki LLP ("Company", "We", "Us", or "Our"). If you do not agree to these terms, you must not use this Platform.
2. Service Description

PWA.Archis is a multi-vendor Progressive Web Application (PWA) platform that enables restaurants, hotels, cafés, food courts, and other hospitality businesses to digitize their customer ordering experience through QR code-based ordering, menu management, payment processing, and order fulfillment services.
3. Free Trial Period

We offer a 90-day free trial period (configurable by platform administrator) from the date of account creation. During this period, you have full access to all platform features without any charges. No credit card is required for trial signup. The trial automatically expires after the specified period unless converted to a paid subscription.
4. Account Registration & Eligibility

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials. You must be at least 18 years old and legally authorized to represent the business you are registering. You agree to immediately notify us of any unauthorized use of your account.
5. Vendor Responsibilities

You are solely responsible for: (a) All content uploaded to the Platform including menu items, images, descriptions, and pricing; (b) Compliance with all applicable laws including food safety, taxation (GST), and hygiene standards; (c) Accuracy of business information, pricing, and availability; (d) Quality and timely fulfillment of customer orders; (e) Maintaining adequate staff and resources to handle orders; (f) Protecting customer data collected through the Platform.
6. Prohibited Activities

You agree NOT to: (a) Upload illegal, harmful, offensive, or misleading content; (b) Impersonate another person or business; (c) Attempt to access, hack, or disrupt the Platform's security or infrastructure; (d) Use the Platform for any fraudulent or unlawful purposes; (e) Resell, sublicense, or redistribute Platform access; (f) Reverse engineer, decompile, or extract source code; (g) Violate any intellectual property rights; (h) Spam, phish, or send unsolicited communications.
7. Data Privacy & Protection

We collect and process data as described in our Privacy Policy. You retain ownership of your business data (menus, pricing, orders). We use customer data (names, phone numbers, orders) solely to provide services and improve the Platform. We implement industry-standard security measures but cannot guarantee absolute security. You are responsible for backing up critical business data. We do not sell customer data to third parties.
8. Payment Processing

The Platform supports multiple payment methods including Cash on Delivery, UPI, Credit/Debit Cards, and Online Payment Gateways. Payment gateway transactions may be subject to third-party terms and transaction fees. We are not responsible for failed transactions, bank charges, or payment disputes between you and customers. You must ensure payment details (UPI ID, bank accounts) are accurate and belong to you.
9. Intellectual Property Rights

The Platform, including its source code, design, trademarks, logos ("ARCHIS", "PWA.Archis"), and content, is owned by Archis Prodyogiki LLP and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform during your subscription. You retain ownership of content you upload but grant us a license to use, display, and process it to provide services.
10. Subscription & Billing

After the trial period, continued access requires a paid subscription. Subscription plans and pricing are available on our website and subject to change with 30 days' notice. Payments are due as per the selected billing cycle (monthly/quarterly/annual). Failure to pay may result in account suspension or termination. Refunds are provided only as per our Refund Policy.
11. Service Availability & Support

We strive to provide 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be notified in advance. We provide email and phone support during business hours (10 AM - 6 PM IST, Monday-Friday). Critical issues will be addressed on priority. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
12. Limitation of Liability

To the maximum extent permitted by law, Archis Prodyogiki LLP shall not be liable for: (a) Indirect, incidental, consequential, or punitive damages; (b) Loss of revenue, profits, data, or business opportunities; (c) Service interruptions, data loss, or security breaches beyond our control; (d) Actions or omissions of third-party service providers (payment gateways, SMS providers); (e) Customer disputes, food safety incidents, or order fulfillment issues. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
13. Indemnification

You agree to indemnify, defend, and hold harmless Archis Prodyogiki LLP, its directors, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from: (a) Your violation of these Terms; (b) Your violation of any law or third-party rights; (c) Content you upload or actions you take on the Platform; (d) Customer disputes or food safety incidents; (e) Your negligence or willful misconduct.
14. Termination

You may terminate your account at any time by contacting support. We may suspend or terminate your account immediately if: (a) You violate these Terms; (b) Your account is inactive for 180+ days; (c) We discontinue the Platform; (d) Required by law or legal order. Upon termination, you lose access to the Platform and your data may be deleted after 30 days. Outstanding payments remain due.
15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email 30 days in advance. Continued use of the Platform after changes take effect constitutes acceptance. If you disagree with changes, you must terminate your account before the effective date.
16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in New Delhi, India. We encourage resolving disputes amicably through good-faith negotiations before pursuing legal action. Arbitration may be pursued as per the Arbitration and Conciliation Act, 1996.
17. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, epidemics, government orders, labor strikes, internet outages, or third-party service failures.
18. Miscellaneous

These Terms constitute the entire agreement between you and Archis Prodyogiki LLP. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not constitute a waiver. We may assign these Terms; you may not assign without our written consent. Section headings are for convenience only.
